TERMS AND CONDITIONS OF SALE FOR BUSINESS CUSTOMERS

Version of 19 October 2026

Article 1. Identification of the seller

The website 3dprint.shop (the “Site”) is operated under the 3Dprint.shop brand by B5 PRODUCTIONS, a French limited liability company (SARL) with a share capital of €8,500, registered with the Lyon Trade and Companies Register under number 492 238 118, whose registered office is at 18 rue Berjon, B03, 69009 Lyon, France, EU VAT number FR43 492 238 118 (the “Seller”).

Contact: contact@3dprint.shop, +33 (0)4 28 89 77 28, Monday to Friday from 9 am to 12 pm and from 2 pm to 6 pm (Paris time).

Article 2. Scope

2.1. These terms and conditions of sale (the “Terms”) govern all sales of products concluded by the Seller with business customers (the “Customer”) through the Site, by quote or through any other channel of the Seller.

2.2. The Site is reserved for business customers: companies, craftspeople, self-employed professionals, educational institutions, public authorities and bodies, acting for the purposes of their activity and holding a SIRET number, an EU VAT number or an equivalent identifier in their country. By ordering, the Customer declares that it meets this condition. The Seller may refuse or cancel an order placed by a person who does not.

2.3. Any order implies full acceptance of the Terms, which prevail over any document of the Customer, in particular its general purchasing conditions, unless the Seller has agreed otherwise in writing beforehand. The Seller may amend the Terms at any time; the applicable version is the one in force on the day of the order, available on the Site and during checkout.

2.4. Services (on-demand 3D printing, consulting, training) and the sale of 3D printers are subject to a quote and, where applicable, to special conditions that supplement the Terms.

Article 3. Business account

3.1. Ordering online requires a business account. The Customer provides its company name, SIRET or EU VAT number, a billing address, a delivery address and the details of a contact person. It guarantees the accuracy of this information and informs the Seller of any change.

3.2. The Seller verifies newly created accounts. It may request any supporting document and refuse, suspend or close an account, in particular in the event of inaccurate information, unpaid amounts or improper use.

3.3. The Customer is responsible for the confidentiality of its credentials and for any order placed from its account. It designates the persons authorised to order on its behalf; any order placed from the account is deemed to come from an authorised person.

3.4. Some products are visible and orderable only by customers to whom the Seller has granted access. Granting such access is at the Seller's discretion.

Article 4. Products

4.1. The products offered are those described on the Site on the day of the order, subject to available stock or possible supply. Photographs, data sheets and manufacturers' data are provided for information; the contractual characteristics are those shown on the product page at the time of the order.

4.2. The Customer is solely responsible for assessing the suitability of a product for its use, its equipment and its regulations. The Seller's advice does not constitute a guarantee of results. The Customer complies with the safety data sheets and the manufacturer's instructions.

4.3. The Seller may withdraw a product from sale or change its characteristics at any time, without effect on orders already accepted.

Article 5. Prices

5.1. Prices are stated in euros excluding taxes, or in the currency displayed for the selected delivery country. VAT and, where applicable, other applicable taxes are calculated at checkout according to the delivery country and the Customer's tax status. For an intra-EU delivery to a Customer with a valid VAT number, VAT is not charged and the Customer applies the reverse-charge mechanism.

5.2. Delivery costs are added to the price of the products and are shown before the order is confirmed.

5.3. For deliveries outside the European Union, customs duties, import taxes and clearance fees are borne exclusively by the Customer, who is the importer.

5.4. Prices may change at any time. The invoiced price is the one in force on the day of the order or that of the quote accepted within its validity period.

Article 6. Quotes

6.1. The Customer may request a quote from the Site or by any other means. A quote is valid for 30 days from its issue, unless otherwise stated. After this period, it lapses.

6.2. Acceptance of a quote within its validity period constitutes a firm order, under the conditions of the quote and the Terms. Delivery costs shown on the quote are carried over to the order; if absent, they are calculated at checkout.

6.3. The Seller reserves the right not to respond to a quote request.

Article 7. Orders

7.1. Ordering online involves selecting the products, entering or confirming the addresses, choosing the delivery and payment method, checking the summary and confirming. For an order on deferred payment terms, the Customer enters its purchase order number and attaches the purchase order.

7.2. The order is final when the Seller acknowledges receipt by email. The Seller may refuse an order, in particular in the event of unavailability, an ongoing payment dispute, an anomaly on the account or a manifestly abnormal request. The refusal is notified to the Customer and any amount already paid is refunded.

7.3. An accepted order may be modified or cancelled by the Customer only with the Seller's written agreement. Products ordered specially, not held in stock or shipped directly by the manufacturer cannot be cancelled once the supplier order has been placed.

7.4. Any order placed from the Customer's account binds the Customer, including when it is placed on its behalf by a third party it has allowed to access the account.

Article 8. Payment

8.1. Unless deferred payment has been agreed, the order is payable in full at the time of ordering, by bank card or by one of the payment methods offered on the Site. Payments are processed by a secure payment provider; the Seller does not store card data.

8.2. Deferred payment (for example 30 days from the invoice date) may be requested by the Customer. It is granted, or refused, at the Seller's sole discretion, after validation of the business account, and may be withdrawn at any time, in particular in the event of late payment or deterioration of the Customer's situation. Where granted, the invoice is payable by bank transfer on the due date shown. Any order on deferred payment terms must be accompanied by a purchase order from the Customer; failing this, the Seller may suspend shipment until it is received.

8.3. Bank transfer is not offered as a payment method at the time of ordering.

8.4. Late payment. In accordance with Article L. 441-10 of the French Commercial Code, any amount unpaid on the due date automatically bears, without prior notice, late-payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, as well as a fixed recovery indemnity of €40. If the recovery costs incurred are higher, the Seller may claim additional compensation upon proof. Late payment also triggers the acceleration of all amounts due, the suspension of pending orders and the Seller's right to withdraw any deferred payment granted.

8.5. No discount is granted for early payment.

Article 9. Invoicing

9.1. An invoice is issued for each order, at the time of its payment or shipment. It is sent electronically to the Customer's billing address, and the Customer accepts this method of transmission.

9.2. When creating its account, the Customer provides and keeps up to date the email address for receiving invoices and, where applicable, the references required by its organisation (purchase order number, service code, commitment number). For public bodies, invoices are filed on the Chorus Pro platform.

9.3. Invoices are issued in compliance with electronic invoicing regulations, where applicable through an accredited platform.

Article 10. Delivery

10.1. Areas. The Seller delivers to the countries offered in the Site's country selector at the time of the order, namely the European Union, Switzerland and the United Kingdom, as well as the associated countries listed there. No delivery is made outside these countries.

10.2. Methods. Delivery methods and their rates are presented at checkout. The Seller entrusts shipment to carriers or to a logistics provider. Beyond the weight limits offered online, transport is subject to a quote.

10.3. Lead times. The shipping and delivery lead times mentioned on the Site, in emails or on quotes are given for information only. They depend on the availability of products, manufacturers and carriers. Exceeding them cannot give rise to cancellation of the order, penalties, compensation or refusal of the goods, unless specifically agreed in writing. For products not held in stock, ordered specially or shipped directly by the manufacturer, the Seller communicates an estimated lead time as soon as it has one.

10.4. The Seller may make partial deliveries. Each partial delivery is invoiced separately and payable under the conditions of Article 8.

10.5. The Customer ensures that delivery is possible at the address given (access, hours, reception). The costs of a second delivery attempt or of a return due to absence, an incorrect address or an unjustified refusal are borne by the Customer.

Article 11. Receipt and reservations

11.1. The Customer or its agent checks the condition of the parcels and their contents in the presence of the carrier. In the event of damage, shortage or an opened parcel, it writes precise, dated and signed reservations on the delivery note and confirms them to the carrier in writing (registered letter or email) within three working days of receipt, in accordance with Article L. 133-3 of the French Commercial Code, with a copy to the Seller.

11.2. Any apparent non-conformity of the delivery with the order (reference, quantity, damaged product) is reported to the Seller within the same period of three working days, with photographs and the order number. After this period, the delivery is deemed compliant and accepted.

11.3. The handling of claims and returns is described in the Site's Returns policy, which forms part of the Terms.

Article 12. Transfer of ownership and risk

12.1. Retention of title. The Seller retains ownership of the products delivered until full payment of the price, principal and ancillary amounts. Until such payment, the Customer may not resell, transform or pledge the products without the Seller's agreement, and must keep them identifiable. In the event of non-payment on the due date, the Seller may demand the return of the products at the Customer's expense. Deposits paid remain acquired by the Seller as compensation, without prejudice to any other damages.

12.2. Risk. The risk of loss and damage to the products passes to the Customer on delivery, that is upon physical handover of the products at the agreed address, or on the date of first presentation if delivery is not taken due to the Customer.

Article 13. No right of withdrawal

13.1. Sales between businesses are not subject to a right of withdrawal. The Customer has no right of return for convenience, except with the Seller's written agreement under the conditions of the Returns policy.

13.2. By exception, in accordance with Article L. 221-3 of the French Consumer Code, a business Customer employing five people or fewer, entering into a distance contract that does not fall within the scope of its main activity, has a right of withdrawal of fourteen days from receipt of the products. It exercises this right by an unambiguous written statement sent to contact@3dprint.shop and returns the products complete, unopened and in their original packaging within the following fourteen days, at its own expense. Consumables whose packaging has been opened or whose seal has been broken are excluded. The refund is made within fourteen days of receipt of the returned products.

Article 14. Warranties

14.1. Products are covered by the statutory warranty against hidden defects provided for in Articles 1641 et seq. of the French Civil Code, under the conditions of those articles. The provisions of the French Consumer Code on the statutory warranty of conformity do not apply to sales between businesses.

14.2. Products are covered, where applicable, by the manufacturer's commercial warranty, under the conditions, duration and exclusions set by the manufacturer. The Seller forwards warranty claims to the manufacturer and follows up on them, without substituting itself for the manufacturer.

14.3. Excluded from any warranty are defects resulting from storage or use not in accordance with the manufacturer's instructions, normal wear, modification of the product, inappropriate machine settings, or the use of consumables with incompatible equipment. Consumables (filaments, resins, powders, wear parts) are products whose performance depends on the conditions of use; an unsatisfactory print result does not in itself constitute a product defect.

14.4. In the event of a confirmed defect, the Seller shall, at its option, replace the product, repair it, or issue a credit note or a refund, to the exclusion of any other compensation.

Article 15. Liability

15.1. The Seller's liability is limited to direct and foreseeable damage resulting from a proven breach of its obligations. It may not exceed the amount excluding taxes of the order concerned.

15.2. The Seller is not liable for indirect damage, in particular loss of production, business, turnover, data, customers or reputation, nor for the cost of printed parts, idle machines or labour, even if it has been informed of their possibility.

15.3. The Seller is not liable for non-performance of its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code, nor in the event of failure by the manufacturers, carriers or providers on which it depends, provided that it informs the Customer and takes reasonable steps to remedy the situation.

Article 16. Intellectual property

The Site, its structure, texts, images, logos and databases, as well as the 3Dprint.shop trademark, are protected by intellectual property law and belong to the Seller or its partners. Manufacturers' trademarks and designations remain the property of their owners. Any reproduction or use without written authorisation is prohibited.

Article 17. Personal data

The personal data of the Customer's contacts is processed in accordance with the Privacy policy available on the Site.

Article 18. Miscellaneous

18.1. If any clause of the Terms is declared void or unenforceable, the other clauses remain in force.

18.2. The Seller's failure to rely on a clause does not constitute a waiver of its right to rely on it later.

18.3. The Terms are drawn up in French and translated into English and German for the Customer's convenience. In the event of any discrepancy, the French version alone prevails.

18.4. The Seller's computerised records, kept under reasonable security conditions, are considered proof of the communications, orders and payments between the parties.

Article 19. Governing law and jurisdiction

The Terms and any sale they govern are subject to French law. Any dispute relating to their interpretation, performance or termination shall, failing an amicable settlement, be submitted to the Tribunal des activités économiques of Lyon (Lyon commercial court), notwithstanding multiple defendants or third-party claims, including for urgent or protective proceedings.
